  • On September 3, 2024, the company has been awarded a certificate by the Stock Exchange of Thailand (“SET”) under the “ESG DNA program”, a sustainability knowledge initiative for personnel at all levels within the organization.
February
  • On February 20, 2024, at the Board of Directors Meeting No. 1/2024 passed important resolutions as follows:
    • Acknowledged the resignation of one director, Ms. Thanya Thimachai, who held the position of Director and Executive Director of the Company. Her resignation is effective from March 5, 2024. Consequently, the Board approved the amendment of the list of directors and authorized signatories in the Company’s Certificate, Sections 2 and 3, to reflect these changes. The number of directors has been revised from 10 to 9, and the number of authorized signatories has been adjusted from 5 to 4 as follows:
      “The joint signature of two directors, namely Mr. Phanumast Rungkakulnuwat or Mrs. Hathairat Rangkagoonnuwat with Miss Phakthinun Sophonthitivej or Mrs. Suksai Phoksap. There are no restrictions on the authority of the directors.”

  • On March 11, 2024, the Company registered changes to its directors, including modifications to the names and number of authorized signatories and the restrictions on directors' authority.

  • On April 24, 2024, the Company's 2024 Annual General Meeting of Shareholders passed important resolutions as follows:
    • It was resolved to approve the payment of dividends from the Company's net profits for the year 2023 at the rate of 0.0133 Baht per share, amounting to 600.00 million shares, total. It is a dividend totaling 8.00 million Baht, scheduled to be paid on 21 May 2024

  • On May 9, 2023 the Company registered the capital increase with the Department of Business Development, Ministry of Commerce, by registering an additional capital of 49.00 million Baht, from the existing paid-up capital of 1.00 million Baht to 50.00 million Baht divided into 50.00 million ordinary shares at the par value of Baht 100.00 per share.

  • On January 27, 2023, Autoclik opened a Fast-Fit service center, Chotana Branch (Opposite Lanna Golf Course) Branch, Chiang Mai (the twelve branch of Autoclik).

  • On June 23, 2023, Autoclik opened a Fast-Fit service center, Si Kor Kathu Intersection Branch, (the thirteen branch of Autoclik).

  • On March 4, 2022, Autoclik opened a Fast-Fit service center, Big C Chiang Mai Donjan Branch, Chiang Mai (the seventh branch of Autoclik).

  • On February 23, 2022, the Board of Directors’ meeting no. 1/2022 has resolved to approve the change of the objectives of utilization of IPO which is considered immaterial by reallocation of the proceed. but it has been changed to using IPO as working capital in the business, with the remaining amount of 88,008,038.74 Baht.
  • On February 26, 2022, Autoclik opened a Fast-Fit service center, Lotus Ekkachai 99/1 Branch, Bangkok (the sixth branch of Autoclik).
April
  • On April 27, 2022, the 2022 Annual General Meeting of Shareholders, there were important resolutions as follows:
             - A resolution has been approved to pay dividends from the net profit and retained earnings of the Company for the fiscal year 2021 at a rate of 0.0133 Baht per share, totaling 8.00 million.
             - A resolution has been approved to the issuance and offering of not more than 24.00 million units of ESOP Warrants to the directors, management, and employees of the Company and/or its subsidiaries (ESOP Warrant-1) for free.
             - A resolution has been approved to the increase of the registered capital for 12.00 million Baht divided into 24.00 million ordinary shares at the par value of Baht 0.50 each, from the existing paid-up capital of 300.00 million Baht to 312.00 million Baht divided into 624.00 million ordinary shares at the par value of Baht 0.50 each.
             - A resolution has been approved to the allotment of 24.00 newly issued million ordinary shares at a par value of Baht 0.50 per share as per the above table to accommodate for the issuance of ESOP Warrants to directors, management and employees of the Company.
  • On April 30, 2022, Autoclik opened a Fast-Fit service center, Lotus Navanakorn Branch, Pathum Thani (the eighth branch of Autoclik).

  • On May 9, 2022, the Company registered the capital increase with the Department of Business Development, Ministry of Commerce, by registering an additional capital of 12.00 million Baht, from the existing paid-up capital of 300.00 million Baht to 312.00 million Baht.
  • On May 11, 2022, the Board of Directors’ meeting no. 3/2022 has resolved to approve the delivery of a notice of termination of the appointment of certain distributors for 4 branches of Honda Maliwan Co., Ltd., namely Nangrong Branch in Buri Ram (the third branch of Honda Maliwan), Prachasamosorn Branch in Khon Kaen (the fourth branch of Honda Maliwan), Weerawatyothin Branch in Surin (the sixth branch of Honda Maliwan), and Phuket Branch in Phuket (the seventh branch of Honda Maliwan), to Honda Automobile (Thailand) Co., Ltd.
  • On May 27, 2022, Autoclik opened a Fast-Fit service center, Bangchak Bangbuathong Branch, Nonthaburi (the ninth branch of Autoclik).

  • On October 7, 2022, Autoclik opened a Fast-Fit service center, Big C Tiwanon Branch, Nonthaburi (the tenth branch of Autoclik).

  • On December 9, 2022, Autoclik opened a Fast-Fit service center, Big-C Ramintra Branch, Bangkok (the eleventh branch of Autoclik).
  • On December 16, 2022, Honda Maliwan registered the closure of 4 branches with the Department of Business Development, Ministry of Commerce namely Nangrong Branch in Buriram (the third branch of Honda Maliwan), Prachasamosorn Branch in Khon Kaen (the fourth branch of Honda Maliwan), Weerawatyothin Branch in Surin (the sixth branch of Honda Maliwan), and Phuket Branch in Phuket (the seventh branch of Honda Maliwan).

  • On March 1, 2021, Autoclik opened a Fast-Fit service center, Thep Krasattri Branch, Phuket (the first branch of Autoclik).

  • On April 19, 2021, the 2021 Annual General Meeting of Shareholders, the Company has resolved to approve the payment of dividends from the net profit of the Company for the year 2020 at a rate of 0.04 Baht per share, totaling 24.00 million Baht for 600.00 million shares.

  • On January 4, 2020, Honda Maliwan opened a showroom in Mueang Krabi branch, Krabi (the tenth branch of Honda Maliwan).

  • On July 8, 2020 under the name Autoclik by ACG Co., Ltd., with a registered capital of Baht 1 million, divided into 10,000 ordinary shares with a par value of Baht 100 per share, which is service center for rapid repair and maintenance services for all car brands (“Fast-Fit”).

  • On September 30, 2020 Honda Maliwan, Krabi branch, Krabi (the ninth branch of Honda Maliwan) has closed. The Krabi branch is a branch where is temporarily open to serve customers while waiting for the construction of Mueang Krabi branch’s showroom and service center (the tenth branch of Honda Maliwan) which the Mueang Krabi branch has been completed since December 10, 2019. Therefore, the closure of such branch does not affect the operation of Honda Maliwan.

  • On 27 June 2019 Autocorp Holding Public Company Limited, has trade in mai under industrial sector (Automotive) with ACG symbol by initial public offering 156 million share with THB 1.44 per share

  • Honda Maliwan Co., Ltd., a subsidiary has increasing in share capital THB 213 million to THB 550 million.

  • 17 September 2018, ACG has conversion to a public company limited and change the company name to "Autocorp Holding Public Company Limited." and change in par value from THB 10 per share to THB 0.5 per share and increasing in their share capital amounting to THB 78 million to THB 300 million, preparing to initial public offering amounting to THB 156 million with par value THB 0.5 per share.

  • On 2 February 2018, the company has registered a new branch as a Honda dealer in Phuket (Showroom and service center No. 7 of Honda Maliwan) which is the first branch that the company has expand to another zone except Isan zone.
  • • On 28 February 2018, A.V. Car (Surin) Co., Ltd., A.V. Buriram Honda Cars Co., Ltd. and Honda Maliwan Co., Ltd. has amalgamation to the new company under the name of "Honda Maliwan Co., Ltd." (Core Company) to operate as a Honda dealer all of 7 branches with the share capital of THB 140 million, divided to 1,400,000 shares with a par value of THB 100 per share which the ultimate shareholder is ACG.
  • On 28 February 2018, the core company has sign a dealer agreement of all 7 branches (Revised dealer agreement after amalgamation)
March
  • On 1 March 2018, the core company has opening a dealer at Phuket.
  • On 20 March 2018, ACG a dividend payment amounting to THB 18.75 million to our shareholder amounting to 25 million shares with average THB 7.50 per share of the performance of fiscal year 2017.
  • On 23 March 2018, ACG has increasing in share capital from 25 THB million to THB 222 million by offer to the prior shareholder for more invest in a core company for business expansion.
  • On 23 March 2018, the core company has increasing the share capital from THB 140 million to THB 337 million by offering to existing shareholders and the core company has acquired a land as a showroom and service center in Surin (Surin and Weerawatyothin branch) and Buriram from Mr. Phanumast Rungkakulnuwat and Mrs. Hathairat Rangkagoonnuwat amounting to THB 155.93 million which is the average market price, evaluate from 2 independent valuation which the Securities & Exchange Commission (SEC) has approved.
  • On 29 March 2018, opening a Naka branch in Phuket as a Honda dealer (Showroom and service center No. 8 of Honda Maliwan), currently a service center has already operate since October 2018 and Showroom has under the construction.

  • On 16 November 2018, Honda Automobile (Thailand) Co., Ltd. has a consent letter to allow the ACG group as a Honda Dealer in Krabi, which is expected to open a temporary showroom within January 2019

  • A.V. Car (Surin) Co., Ltd. has opening a Weerawatyothin branch at Surin as a showroom (Showroom No. 6 of ACG)

  • The resolution of EGM held on 8 November 2017, has acknowledge the resignation of 2 director of the company and has a resolution to elect a new director totally 8 people which have 4 independent director comprising Mr. Panich Pongpirodom, Mr. Weerachai Ngamdeevilaisak, ML. Winai Kasensri and Prof. Dr. Saranyapong Thaingtam.

  • Honda Maliwan Co., Ltd. grand opening a biggest showroom and service center in Khon Kaen under the area of 25 rai, to be the Honda service center of Khon Kaen and Currently, this is a biggest Honda showroom and service center in Thailand. (Showroom and service center No. 5 of ACG)

  • The resolution of EGM held on 16 December 2016, shareholder has passed a dividend payment resolution amounting THB 7 million of the performance of fiscal year 2015.

  • The company has shareholder restructuring by established an Autocorp Holding Company Limited as a pure investment company, held by Mr. Phanumast Rungkakulnuwat with a paid up share capital 500,000 baht divided into 50,000 ordinary shares with a par value of 10 baht per share.

  • On 14 September 2015, ACG has purchase A.V. Car (Surin) Co., Ltd. share capital from Mr. Phanumast Rungkakulnuwat group amounting to 198,000 shares, totally THB 19.8 million calculated to 99% of their total share capital and purchase A.V. Buriram Honda Cars Co., Ltd. from Mr. Phanumast Rungkakulnuwat group amounting to 198,000 shares, totally THB 19.8 million calculated to 99% of their total share capital.
October
  • On 1 October 2015, the company has increased share capital to THB 25 million for increase an investment in subsidiaries and restructuring their share structure.
December
  • On 4 December 2015, ACG has purchase Honda Maliwan Co., Ltd. share capital from Mr. Phanumast Rungkakulnuwat group, amounting to 990,000 shares totally THB 99 million calculated to 99% of their total share capital.
